By accessing or using GuardAxion's AI security platform, products, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you (either an individual or entity) and GuardAxion ("we," "our," or "us").

2. Description of Services

GuardAxion provides enterprise-grade AI security, data protection, and ML governance solutions, including but not limited to:

  • AI Guard Manager - Production security guardrails
  • Developer Portal - Testing tools and plugins
  • Brand Sentinel - Brand monitoring and protection
  • Compliance Suite - Automated compliance management
  • Threat Detection - AI-powered security monitoring
  • ML Governance Platform - Model lifecycle management
  • Browser Security Extension - DLP and access controls
  • Analytics Dashboard - Centralized monitoring and reporting

3. Account Registration and Responsibilities

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to:

7. Data Privacy and Security

  • Maintenance Windows: Scheduled maintenance with 7 days' notice

SLA credits may be issued for verified downtime exceeding our commitments, as detailed in your service agreement.

9. Warranties and Disclaimers

We warrant that our Services will perform substantially in accordance with our documentation under normal use.

9.2 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUARDAXION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $1,000, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless GuardAxion and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content submitted to the Services

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to our Services or other users

12.3 Effect of Termination

Upon termination, your right to use the Services immediately ceases. We will provide you with access to export Your Content for 30 days after termination, after which we may delete Your Content from our systems.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending email notification to your account email
  • Displaying an in-app notification

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@guardaxion.com to attempt to resolve the dispute informally.

14.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in Delaware, USA.

14.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive the right to participate in class action lawsuits or class-wide arbitration.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any legal action must be brought in the federal or state courts located in Delaware.

16. General Provisions

16.1 Entire Agreement

These Terms, along with our Privacy Policy, Acceptable Use Policy, and Software License, constitute the entire agreement between you and GuardAxion.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.

16.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
